TERMS OF USE

1. AGREEMENT TO TERMS

These Terms of Use ("Terms") constitute a legally binding agreement between you and Bellve ("we," "us," or "our") governing your access to and use of https://bellve.com (the "Site"), including any content, features, functionality, and services offered thereon or in connection therewith (collectively, the "Services").

By accessing or using the Services, you affirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms in full, you must not use or access the Services.

Access to the Services via third-party authentication providers is also subject to those third-party terms. You are solely responsible for compliance with such third-party terms.

2. DESCRIPTION OF SERVICES

Services are provided solely for general informational purposes and do not constitute investment, legal, financial, or other professional advice. Bellve does not hold user funds, provide investment recommendations, or facilitate any financial transactions.

We reserve the right to update, modify, suspend, or discontinue any aspect of the Services at our sole discretion and without prior notice.

3. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in and to the Services, including but not limited to software, algorithms, data models, user interfaces, text, graphics, logos, and trademarks (collectively, "Proprietary Materials"), are owned by or licensed to Bellve and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes. You may not reproduce, distribute, create derivative works from, publicly display, or exploit any Proprietary Materials without prior written authorization.

4. ACCOUNT REGISTRATION AND SECURITY

Where applicable, you may be required to create an account via third-party authentication tools, including but not limited to Privy. You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activity conducted through your account.

We disclaim any liability for account access issues or security breaches resulting from the use of third-party authentication providers. You must promptly notify us of any unauthorized access to your account.

5. USER-GENERATED CONTENT AND SHARING

The Services may enable users to generate, submit, or share content (including but not limited to risk scores or results) on third-party platforms. By doing so, you:

Warrant that such content does not infringe upon any third-party rights; Grant Bellve a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute such content in connection with the Services; Acknowledge that shared results may be publicly visible and interpreted by others; Agree not to modify or misrepresent Bellve-generated outputs in a misleading manner.

We are not responsible for the use or interpretation of any shared content by third parties.

6. RESTRICTIONS ON USE

You agree not to:

Falsify, manipulate, or interfere with risk assessment outputs; Use the Services in a manner that contravenes applicable financial regulations; Create or operate multiple accounts for fraudulent purposes; Scrape, harvest, or extract data from the Services without express written consent; Represent yourself or your content as endorsed by Bellve without authorization; Upload or transmit any viruses, worms, or harmful code; Use Bellve's Services to promote unlawful, misleading, or fraudulent activity.

We reserve the right to suspend or terminate your access in the event of any breach.

7. FEEDBACK AND SUBMISSIONS

If you provide us with any feedback, ideas, or suggestions regarding the Services ("Feedback"), you acknowledge and agree that we may use such Feedback without compensation or obligation to you. All Feedback shall be considered non-confidential and non-proprietary.

8. PRIVACY AND DATA PROCESSING

Please refer to our Privacy Policy for information on how we collect, use, store, and share your personal data. By using the Services, you consent to such processing, including potential storage in jurisdictions outside your own.

9. SERVICE AVAILABILITY AND MODIFICATION

We do not guarantee uninterrupted availability of the Services. We may temporarily or permanently modify, suspend, or discontinue access to any part of the Services at our sole discretion and without liability.

10. TERMINATION

We reserve the right to terminate or suspend your access to the Services, with or without notice, if we determine in our sole discretion that you have violated these Terms or otherwise engaged in improper or unlawful conduct.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by applicable laws, without regard to conflict-of-laws principles. In the event of a dispute, the parties agree to attempt informal resolution. If unresolved, disputes shall be resolved through binding arbitration conducted in English, in a mutually agreed neutral venue. Exceptions apply to claims seeking injunctive relief or concerning intellectual property.

12. DISCLAIMERS

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or reliability. Bellve disclaims any liability for reliance on risk scores or analytical outputs.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Bellve's total liability arising out of or related to the use of the Services shall not exceed the amount paid by you to Bellve, if any, in the six (6) months preceding the claim. Bellve shall not be liable for any indirect, incidental, special, or consequential damages.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Bellve and its affiliates, directors, employees, and licensors from and against any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, your shared content, or your breach of these Terms.

15. DATA RETENTION

We may retain anonymized data related to your activity for performance monitoring or internal analytics. You are responsible for retaining copies of any assessment outputs you wish to keep.

16. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from us, including updates, legal notices, and account-related communications.

17. ENTIRE AGREEMENT AND SEVERABILITY

These Terms constitute the entire agreement between you and Bellve regarding the Services. If any provision is found to be unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

18. NO FINANCIAL SERVICES OR CUSTODY

Bellve does not provide investment services, accept deposits, or act as a custodian of user funds. Any information or scoring presented via the Services is purely informational.

19. FUTURE MODIFICATIONS

We reserve the right to revise these Terms at any time. Continued use of the Services following the posting of updated Terms constitutes your acceptance of such changes.
